At our Nov. 15 Annual Meeting, we will vote on a new slate of officers and a related bylaw amendment. The next Board of Directors will be structured with just three officers in a shared leadership role. This departs from our existing structure of President, Vice President, Treasurer and Secretary. The new structure would help spread out the workload of guild operations, while complying with IRS and MQG requirements of having three unrelated officers on the board.
When: Saturday, November 15, 10:30 a.m. – 1:30 p.m.
Where: Boise First Congregational United Church of Christ, 2201 Woodlawn Ave., Boise
Our vote will be a two-step process, first voting on the Bylaws and then officers.
BYLAWS AMENDMENT
The new board configuration requires a bylaws change to Article 3: Elected Officers, Section 1: Officers:
- Existing language: Elected officers serve as board members and consist of President, Vice President, Secretary, and Treasurer.
- Proposed language: Elected officers serve as board members. The board consists of at least three (3) unrelated officers who are members in good standing with the Guild. The elected officers shall determine their titles and roles. Regardless of their titles, board members are responsible for fulfilling the duties and obligations of President, Vice President, Secretary and Treasurer as outlined in the bylaws.
This proposed language is intended to be specific enough so that we meet IRS and MQG baseline requirements, while being broad enough to allow return to the traditional President-VP-Secretary-Treasurer board configuration, if the guild so chooses.
OFFICER ELECTIONS
The proposed board includes:
- Vice President of Programs & Meetings: Nomination: Cheryl Seath (currently serving as secretary)
- Vice President of Finance: Nomination: Kathy Stockton (currently serving as Treasurer)
- Vice President of Membership: Nomination: Carol James (incoming board member)
